These Terms & Conditions ("Terms") govern your access to and use of the Pomeg AI platform, website, and all related services ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About Pomeg AI

Pomeg AI is an AI-powered business automation and social media management platform operated from Bangladesh. The Platform provides:

• Social media account management (posting, scheduling, comment replies, and messaging)
• AI-generated content creation tools
• AI-powered phone and voice agents
• Customer relationship management (CRM) and lead management tools
• Knowledge base and document management
• Third-party platform integrations (Facebook, Instagram, LinkedIn, etc.)

The Platform is available to users globally, with primary operations based in Bangladesh.

2. Eligibility

To register and use the Platform, you must:

• Provide accurate, truthful, and current registration information
• Have the legal authority and rights to connect any social media accounts, pages, or phone numbers you link to the Platform
• Not be prohibited from using the Platform under applicable law in your jurisdiction

By using the Platform, you represent and warrant that you meet all eligibility requirements.

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity and actions taken under your account
• Notifying us immediately at info@pomegai.com if you suspect unauthorized access to your account
• Ensuring all information you provide is kept up to date

Pomeg AI is not responsible for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree that you will not use the Platform to:

• Violate any applicable local, national, or international laws or regulations
• Post, publish, transmit, or distribute illegal, defamatory, obscene, fraudulent, or harmful content
• Send unsolicited communications (spam) or engage in misleading or deceptive practices
• Misuse automation tools, AI systems, or APIs in a manner that violates third-party platform policies (including Meta, Instagram, LinkedIn, etc.)
• Attempt to gain unauthorised access to the Platform or its underlying systems
• Impersonate any person or entity
• Interfere with or disrupt the Platform's functionality or the servers and networks connected to it
• Collect or harvest any personally identifiable information without consent
• Engage in any activity that violates Meta's Platform Terms, Community Standards, or Developer Policies

Violation of this section may result in immediate suspension or termination of your account without notice.

5. Social Media & Third-Party Platform Integrations

By connecting social media accounts or third-party platforms to the Platform, you:

• Authorize Pomeg AI to act on your behalf for the specific permission levels you have approved (e.g., publishing posts, replying to comments, managing messages)
• Confirm that you own or have legal authority to manage the connected accounts, pages, or phone numbers
• Accept full responsibility for all content published, messages sent, and calls made through the Platform
• Acknowledge that third-party platforms have their own terms of service which you must comply with independently
• Understand that Pomeg AI is not affiliated with Facebook, Instagram, Meta, LinkedIn, or any other integrated platform

6. AI & Automation Disclaimer

• AI-generated content, responses, and recommendations are produced automatically and may not always be accurate, appropriate, or suitable for all contexts
• You must review all AI-generated content before publishing, sending, or acting upon it
• Pomeg AI does not guarantee the accuracy, completeness, or fitness for purpose of any AI output
• You are solely responsible for any consequences arising from acting on AI-generated output without verification
• Automated actions (such as comment replies or message responses) are carried out based on settings you configure; you remain responsible for these actions

7. Payments & Subscriptions

• Access to certain Platform features requires a paid subscription
• Subscription fees are charged in advance on a recurring basis (monthly or annually, as selected)
• All fees are non-refundable unless otherwise stated or required by applicable law
• We reserve the right to modify pricing with reasonable advance notice to subscribers
• Failure to maintain valid payment may result in suspension of access to paid features

8. Suspension & Termination

We may suspend or terminate your access to the Platform at our discretion if:

• You violate any provision of these Terms
• Your use of the Platform poses a legal, security, or reputational risk
• Required by applicable law or by third-party platform policies
• We reasonably suspect fraudulent or abusive activity

You may close your account at any time by contacting us. Upon termination, your data will be handled in accordance with our Privacy Policy.

9. Intellectual Property

• All Platform software, systems, branding, design, and documentation are the property of Pomeg AI and are protected by applicable intellectual property laws
• You retain full ownership of any content you create and upload to the Platform
• By using the Platform, you grant Pomeg AI a limited, non-exclusive license to process and store your content solely to provide the services you have requested
• You may not copy, modify, reverse engineer, or redistribute any part of the Platform without prior written permission

10. Limitation of Liability

To the maximum extent permitted by applicable law, Pomeg AI shall not be liable for:

• Any suspension, restriction, or termination of connected social media accounts by third-party platforms
• Errors, delays, or inaccuracies in AI-generated content or automated actions
• Loss of revenue, business, data, or goodwill arising from use or inability to use the Platform
• Failures, outages, or errors caused by third-party services or APIs
• Any indirect, incidental, special, or consequential damages

Our total liability to you for any claim arising from the use of the Platform shall not exceed the amount you paid us in the 3 months immediately preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Pomeg AI, its team, and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) any content you publish or transmit through the Platform; or (d) your violation of any third-party rights or platform policies.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of Bangladesh. Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the jurisdiction of the competent courts of Bangladesh.

Users accessing the Platform from other jurisdictions are responsible for compliance with local laws applicable to them.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify registered users by email. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
